1. Acceptance of terms

These Terms & Conditions ("Terms") govern access to and use of the VaultTen platform, dashboard, and API (collectively, the "Service"), operated by VaultTen ("VaultTen", "we", "us"). By registering for an account or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. Description of service

VaultTen provides card issuing and ledger infrastructure, including virtual and metal Mastercard issuance, CAD spending accounts, transaction processing, KYC workflow tooling, and webhook event delivery, accessible through a REST API and web dashboard.

The Service includes a sandbox (test) mode, which simulates card issuance and transaction processing without moving real funds, and a live mode, which processes real transactions and real funds.

3. Eligibility and account registration

The Service is intended for use by businesses, including fintechs and other companies building financial products, and is not intended for individual consumer use.

You are responsible for maintaining the confidentiality of your account credentials, API keys, and management tokens, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account or any suspected security breach.

You must provide accurate and complete information during registration and keep that information up to date.

4. Sandbox and live mode

Sandbox mode is provided for development and testing purposes only. No real funds are moved, and no real cards are issued in sandbox mode.

Access to live mode is subject to completion of any onboarding, underwriting, or compliance review VaultTen may require, and may be suspended or revoked if that review is not satisfied on an ongoing basis.

5. Fees and billing

Fees for the Service are described on our Pricing page and may include a monthly platform fee, per-card fees, and per-transaction fees, depending on your plan. Fees are billed in arrears unless otherwise agreed in writing.

We may change our fees on a going-forward basis with reasonable notice. Continued use of the Service in live mode after a fee change takes effect constitutes acceptance of the new fees.

6. Acceptable use

You agree not to use the Service to facilitate any unlawful activity, including money laundering, terrorist financing, sanctions evasion, or fraud, and not to use the Service in a manner that violates the rules of any card network, payment processor, or applicable law.

You agree not to attempt to reverse engineer, probe, or interfere with the security or availability of the Service, and not to exceed reasonable API rate limits.

7. Your compliance obligations

You are responsible for your own compliance obligations as they relate to your use of the Service, including know-your-customer (KYC), anti-money-laundering (AML), and consumer protection obligations applicable to your business and your end users.

VaultTen provides tooling to support KYC workflows and transaction monitoring, but you remain responsible for the legality of your product and your relationship with your own customers.

8. Data and privacy

We collect and process data necessary to operate the Service, including tenant, customer, account, card, and transaction data submitted through the API or dashboard. We use this data to provide the Service, for fraud prevention and monitoring, and to comply with legal obligations.

You are responsible for obtaining any consents required from your own end users before submitting their personal information to the Service.

9. Third-party services

The Service relies on third-party infrastructure, including card networks and card issuing processors, to issue cards and process transactions. Your use of the Service is also subject to the applicable rules of those third parties.

We are not responsible for outages, errors, or changes originating from third-party providers that are outside our reasonable control.

10. Service availability

We aim for high availability of the Service but do not guarantee uninterrupted or error-free operation. Planned maintenance and unplanned outages may occur.

Any specific uptime or service-level commitments are set out in a separate written agreement for applicable plans, not in these general Terms.

11. Limitation of liability

To the fullest extent permitted by law, VaultTen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service is limited to the fees you paid to us in the three months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold VaultTen harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, including live mode, if we reasonably believe you have violated these Terms, applicable law, or card network rules, or if required to do so by a card network, processor, or regulator.

Provisions of these Terms that by their nature should survive termination, including fees owed, limitation of liability, and indemnification, will survive.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page or notifying you through the dashboard. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
